Intellectual Property

  1. "Intellectual Property Rights" means all patents, rights to inventions, utility models, copyright and related rights, trademarks, service marks, trade, business and domain names, rights in trade dress or get-up, rights in goodwill or to sue for passing off, unfair competition rights, rights in designs, rights in computer software, database rights, topography rights, moral rights, rights in confidential information (including know-how and trade secrets) and any other intellectual property rights, in each case whether registered or unregistered and including all applications for and renewals or extensions of such rights, and all similar or equivalent rights or forms of protection in any part of the world.

  2. The Client shall own all right, title and interest in and to all of the Deliverables and Intellectual Property Rights therein. The Service Provider agrees that the Deliverables are works made for hire to the extent allowed by law.

  3. The Service Provider hereby irrevocably assigns to the Client, all of its right, title and interest in and to the Deliverables, including all Intellectual Property Rights therein.

  4. At the request of the Client, the Service Provider shall promptly take such further actions, including execution and delivery of all appropriate instruments of conveyance, as may be necessary to assist the Client to prosecute, register, perfect, record or enforce its rights in any Deliverables.
