Broad Form Indemnity Contract Clause

Indemnity

The Indemnifier agrees to indemnify and keep permanently indemnified the Beneficiary against all losses, claims, damages, costs, charges, expenses (including reasonable legal costs and expenses) and liabilities of whatever nature suffered or incurred by the Beneficiary and arising from or relating to:

1. any breach by the Indemnifier of any provision of this agreement;
2. the enforcement of this agreement;
3. any claim made against the Beneficiary by a third party arising out of or in connection with the provision of the Services, to the extent that such claim arises out of the breach, negligent performance or failure or delay in performance of this agreement by the Indemnifier, its employees, agents or subcontractors; and
4. any act or omission of the Indemnifier or its employees, agents or sub-contractors in connection with the performance of this agreement.

This indemnity shall apply whether or not the Beneficiary has been negligent or at fault.
