Narrow Form Indemnity Contract Clause

Indemnity

Subject to the other provisions of this Agreement, the Supplier shall indemnify the Customer from and against any losses, damages, liability, costs (including legal fees) and expenses incurred by the Customer as a result of or in connection with any action, demand or claim made or brought against the Customer by a third party arising directly or indirectly from:

1. any negligence, act or omission of the Supplier or its employees, agents or sub-contractors in supplying, delivering and installing the Goods; or
2. any breach by the Supplier of its obligations under this Agreement.

The Supplier's liability under this indemnity shall be reduced proportionately to the extent that any act or omission of the Customer, its employees, agents or sub-contractors contributed to the said action, demand, claim, damage, loss, liability, cost or expense.
