Confidentiality

  1. "Confidential Information" means any non-public information of the Disclosing Party that is designated as confidential or that, given the nature of the information or the circumstances surrounding its disclosure, reasonably should be considered as confidential.

  2. The Receiving Party shall keep the Confidential Information strictly confidential and shall not disclose it to any third party without the Disclosing Party's prior written consent.

  3. The Receiving Party shall use the Confidential Information solely for the purpose of this Agreement.

  4. The obligations of confidentiality shall not apply to information that is in the public domain, was known to the Receiving Party prior to disclosure, or is required to be disclosed by law.
