Confidentiality

  1. Definition of Confidential Information. "Confidential Information" means any non-public information disclosed by either party to the other, whether in writing, orally or by other means, designated as confidential or that reasonably should be understood to be confidential given the nature of the information and the circumstances of disclosure.

  2. Confidentiality Obligations. Each party agrees to maintain the confidentiality of the Confidential Information and to not disclose such information to any third party without prior written consent of the disclosing party. The receiving party shall take reasonable measures to protect the secrecy of and avoid disclosure and unauthorized use of the Confidential Information.

  3. Term. The obligations of confidentiality shall survive termination of this Agreement and will end three (3) years following the initial date of disclosure.
