Confidentiality

  1. Confidential Information. Each party ('Receiving Party') understands that the other party ('Disclosing Party') has disclosed or may disclose confidential information relating to the Disclosing Party's business.

  2. Confidentiality Obligations. Receiving Party agrees: a) to take reasonable precautions to protect such Confidential Information; and b) not to use (except as expressly permitted herein) or divulge to any third person any such Confidential Information.

  3. Term. The nondisclosure provisions of this Agreement shall survive the termination of this Agreement and Receiving Party's duty to hold Confidential Information in confidence shall remain in effect until two (2) years from the date of disclosure of the Confidential Information or until whichever of the following occurs first: a) Disclosing Party sends Receiving Party written notice releasing it from this Agreement; or b) Confidential Information disclosed under this Agreement ceases to be confidential.
