Confidentiality

  1. In this clause, "Confidential Information" means all information disclosed by one party ("Disclosing Party") to the other party ("Receiving Party"), whether orally or in writing, that is designated as confidential or that reasonably should be understood to be confidential given the nature of the information and the circumstances of disclosure.

  2. The Receiving Party shall: (a) keep the Confidential Information strictly confidential; (b) not disclose such Confidential Information to any third party without prior written consent of the Disclosing Party; (c) use the same degree of care to protect the confidentiality of such information as it uses to protect its own confidential information, but in no event less than reasonable care.

  3. The obligations of confidentiality shall survive termination of this Agreement and will end five (5) years following the initial date of disclosure.
