Confidentiality
Each party ('Receiving Party') acknowledges that in the course of this Agreement it will gain access to Confidential Information of the other party ('Disclosing Party').
Receiving Party shall: a) keep all Confidential Information strictly confidential; b) not disclose any Confidential Information to any third party without Disclosing Party's prior written consent; and c) limit access to Confidential Information to personnel who have a need to know.
The obligations of confidentiality shall not apply to information that: a) was known to Receiving Party prior to disclosure; b) is or becomes publicly known through no wrongful act of Receiving Party; c) is independently developed by Receiving Party; or d) is required to be disclosed by law.
Upon termination, Receiving Party shall return or destroy all Confidential Information.
